01Agreement Acceptance

This User Service Agreement (hereinafter "this Agreement") is a legally binding agreement between you (hereinafter "User" or "you") and vpsdate Inc. (hereinafter "Platform" or "we") regarding your use of the Platform's Mac cloud computing services and related features (hereinafter "the Service"). Before using the Service, please read each clause carefully, paying particular attention to provisions relating to exemptions and limitations of liability.

                                    By clicking "Agree", "Start Using", or any similar confirmation action, or by accessing and using the Service in any manner, you are deemed to have fully understood and accepted all terms of this Agreement. If you object to any clause, please stop using the Service and exit the Platform immediately.
                                

02Service Description & Changes

2.1 Core Service Description

The Platform provides cloud computing resource rental services based on genuine Apple Mac physical bare-metal machines. We reserve the right to make reasonable adjustments to service features, content, technical specifications, or delivery methods at any time based on operational needs.

2.2 Service Continuity

We will make every effort to ensure stable and continuous service operation, but cannot guarantee permanent availability or zero failures. You acknowledge that brief interruptions may occur due to network fluctuations, natural hardware wear, routine system maintenance, and other objective factors. The Platform's liability for compensation is governed by the Service Level Agreement (SLA) signed by both parties.

2.3 Third-Party Component Integration

The Platform may integrate plugins or functional modules provided by third-party partners. The Platform makes no warranty of any kind for such third-party external services and assumes no joint or incidental liability.

03Account Registration & Security

3.1 Registration Information Requirements

You guarantee that all information provided during account registration and subsequent use is true, accurate, complete, and continuously valid. Any losses arising from false information or failure to update account details are your sole responsibility.

3.2 Credential Protection Responsibility

You are obligated to safeguard all login credentials for your account, including but not limited to usernames, passwords, and SSH keys and other sensitive data.

                                    All actions initiated using your account credentials are deemed to be legitimately authorized by you, and you bear the corresponding legal responsibility. If you discover any abnormal login or unauthorized access to your account, please contact us immediately and take appropriate action.
                                

04Fees & Payment Terms

4.1 Payment Model

The Platform uses a prepaid model — users must pay in full before service activation. All plan prices are listed in US Dollars (USD) and are pre-tax amounts. Users are responsible for declaring and paying any taxes arising from use of the Service under applicable local law.

4.2 Refund Policy

Except as otherwise required by applicable law, all payments made by users are non-refundable, including account credit balances and purchased but unused service time. The Platform reserves the right of final interpretation of this policy.

4.3 Price Change Notice

The Platform reserves the right to adjust service prices at appropriate times. Any price changes will be communicated to users in advance via platform announcements or account notifications. Renewals are billed at the latest effective price at the time of renewal.

05User Code of Conduct

While using all Platform services, you must comply with all applicable laws and regulations. The following actions are strictly prohibited:

Violating any laws, regulations, or regulatory requirements in any applicable jurisdiction;
Infringing on others' copyrights, patents, privacy rights, or other legally protected interests;
Sending spam, phishing, or engaging in any form of online fraud;
Conducting unauthorized port scanning, network penetration testing, or distributing trojans or malicious code;
Engaging in cryptocurrency or digital asset mining in any form (except with prior written authorization from us);
Excessively consuming or abusing Platform computing resources in ways that affect other users' normal use.

Upon discovering any violation, we reserve the right to immediately suspend or permanently terminate your service access without prior notice, delete related data without refund, and pursue legal liability as permitted by law.

06Data Rights & Management

6.1 Data Ownership

All data you upload or store on Platform servers is entirely your property. The Platform makes no claim of any kind over your data content.

6.2 Data Backup Obligation

                                    Users are solely responsible for backup and security of all their data. Even where the Platform provides optional backup tools, this feature is supplementary only and does not constitute any express or implied warranty of data integrity or security.
                                

6.3 Personal Data Processing

You agree that the Platform may lawfully collect, store, and process personal information you provide in accordance with the Privacy Policy.

07Disclaimer of Warranties

The Platform services are provided "as is" and "as available" without any express or implied warranties of any kind.

To the maximum extent permitted by law, the Platform expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Service will meet all your business expectations, nor that it will operate without interruption, instant response, complete accuracy, or free of errors at all times.

08Limitation of Liability

Under no circumstances shall the Platform, its affiliates, directors, employees, or partners be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages (including but not limited to loss of business profits, data loss, or business interruption), even if the Platform was previously informed of the possibility of such losses.

To the maximum extent permitted by law, our total liability to you (regardless of whether the claim is based in contract, tort, or other legal basis) shall not exceed the total service fees actually paid by you to the Platform in the one month prior to the dispute.

09Suspension & Termination of Service

9.1 User-Initiated Termination

You may stop using all or part of the Platform's services at any time, but fees already paid are non-refundable.

9.2 Platform-Initiated Termination

If we have reasonable grounds to believe you have violated any clause of this Agreement, we reserve the right to suspend or permanently terminate your access to the Service at any time without liability. Upon termination, the Platform may immediately delete all data and records stored on Platform servers under your account.

10General Provisions

10.1 Governing Law & Dispute Resolution

The interpretation, validity, and enforcement of this Agreement are governed by the laws currently in effect in the jurisdiction where vpsdate is registered. Any disputes arising from this Agreement shall be submitted to the competent court or arbitration institution in the place of registration for resolution.

10.2 Severability

If any clause of this Agreement is found to be illegal, invalid, or unenforceable, that clause shall be severed as an independent separable provision. The legality, validity, and binding force of all remaining clauses shall not be affected and shall remain in full force and effect.

10.3 Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Platform's services and fully supersedes all prior written and oral communications, commitments, and agreements on the same subject matter.
